Itron’s Commitment to Ethical Excellence and Integrity Earns NAVEX Excellence Awards

At Itron, our commitment to the highest legal and ethical standards enables us to meet the evolving expectations of our customers, partners, shareholders, employees, communities, regulators and stakeholders—and is the right thing to do. That’s why I’m excited to announce that Itron is the winner of two 2024 NAVEX Excellence Awards: Excellence in Ethics & Compliance Award and Risk & Compliance Program of the Year. Itron is the first company to win two NAVEX Excellence Awards in one year.  

The NAVEX Excellence Awards celebrate organizations that are dedicated to corporate governance, risk mitigation and ethical practices. This year’s winners were chosen by a distinguished panel of risk and compliance industry experts and NAVEX executives.

Itron’s success is built on our commitment to operate predictably, profitably and with integrity. This commitment is guided by the following pillars:

  • Corporate Governance: Itron's corporate governance practices promote long-term value and strong board and management accountability to our stakeholders. We regularly monitor our corporate governance policies and practices to confirm we meet or exceed the requirements of applicable laws and Nasdaq's listing standards.
  • Ethics & Compliance: We regularly assign company-wide training modules on a variety of ethics-related topics. We also have an open-door policy that encourages employees to share their questions, concerns or complaints with their manager or report them to Itron’s EthicsPoint hotline, available 24/7 in many languages.
  • Enterprise Risk Management (ERM): As part of our ERM update process, our ERM risk register is annually evaluated by senior management using a top-down approach. We also evaluate emerging risks to our business through a bottom-up approach to ensure we are considering new risks that could pose opportunities and threats to our business.
  • Cybersecurity & Data Privacy: The protection and integrity of data is foundational to driving our operational excellence, improving our customers’ experience and ensuring our continued growth and success. To address cybersecurity risks and threats, we have a variety of teams, processes, tools and programs in place for protecting customer and company information.
  • Third-Party Engagement: Itron expects all our third-party suppliers, partners, vendors and service providers to uphold the values of our organization. In 2023, we updated our Supplier Code of Conduct and incorporated environmental, sustainability and governance criteria into our Request for Proposals and auditing processes to ensure alignment.

Chris Ware has more than 25 years of experience as a senior legal advisor and business executive. He was promoted to Senior Vice President, General Counsel & Corporate Secretary at Itron in March 2023. In this role, he is responsible for Itron's corporate governance, business legal solutions and risk management. Chris joined Itron in March 2021 as Associate General Counsel and Chief Compliance Officer and most recently served as Vice President, Legal and Corporate Secretary.
